ManTech launches AI government contracting group

Herndon-based ManTech International has launched a data analytics and artificial intelligence solutions practice aimed at government clients. It will be led by Brandy Durham, a ManTech vice president and former executive with Amazon Web Services and Microsoft.

The new division offers comprehensive AI consulting, AI engineering services and technology accelerators and works with government agencies to plan, design and execute real-world AI strategies, according to a news release from ManTech.

“At ManTech, we’ve assembled a diverse team of AI experts with deep understanding of client missions to create our foundation, ensuring we empower every client’s AI journey,” said Durham, who joined ManTech in October 2023. She previously served as senior practice manager for artificial intelligence-national security at AWS and also worked for Microsoft and IBM.

“The data analytics and AI solutions practice partners with members of the national security community to deliver mission-critical solutions,” Eric Brown, chief innovation officer at ManTech, said in a statement. “To build on this capability, the practice partners work closely with the digital transformation division, formerly Definitive Logic, which was acquired by ManTech in 2023.”

Founded in 1968 with a single Navy contract to develop war-gaming models for the submarine community, ManTech provides technology solutions for U.S. defense, intelligence and federal civilian agencies. It has a worldwide workforce of 9,400.

ManTech completes Definitive Logic acquisition

Herndon-based ManTech International has completed its acquisition of Arlington County-based Definitive Logic.

ManTech provides technology solutions for U.S. defense, intelligence and federal civilian agencies. The company announced the completion of the deal, first announced Aug. 1, on Tuesday.

Terms of the deal were not disclosed. The acquisition is expected to add 330 employees to the contractor’s workforce and expand the federal contractor’s suite of cloud, cyber, DevSecOps (development, security and operations), data engineering and artificial learning/machine learning capabilities as well as technology partnerships.

“The acquisition of Definitive Logic builds upon ManTech’s consultative services in bringing digital to the mission in support of our customers,” ManTech CEO and President Matt Tait said in a statement. “ManTech and Definitive Logic share a passion for people and innovation that helps our customers transform and advance missions. I am pleased to welcome this exceptional team of colleagues who share our steadfast commitment to supporting our customers.”

Definitive Logic will maintain its Arlington office, and co-founder and CEO Paul Burke will lead the team and also be part of ManTech’s growth and innovation organization.

Tait was named CEO and president of the government contractor in October 2022, shortly after the 55-year-old company went private in a $4.2 billion sale to Carlyle Group.

The Navy veteran joined the company in 2018 as a division president and was named chief operating officer in 2020, leading the company’s expansion and the repositioning of its intelligence, federal civilian, and defense businesses. In 2021, Tait oversaw the acquisition of digital and systems engineering provider Gryphon Technologies for $350 million, ManTech’s largest acquisition.

In August, ManTech announced it had signed an agreement to acquire Definitive Logic, an Arlington-based IT contractor with 330 employees. Financial terms were not disclosed.

Prior to joining ManTech, Tait spent two decades at consulting firm Accenture. Tait earned a bachelor’s degree in political science and government from the U.S. Naval Academy and served 10 years in the sea service.

ManTech names new CFO

Herndon-based government contractor ManTech International Corp. has named Michael D. Ruppert as its new vice president and chief financial officer, following the retirement of Judy Bjornaas.

The appointment was effective Tuesday. Bjornaas spent a dozen years at ManTech, which was acquired by The Carlyle Group Inc. last year, and contributed to its growth toward becoming a nearly $3 billion government services contractor with nearly 10,000 employees worldwide.

Ruppert will report to ManTech President and CEO Matt Tait. He will be responsible for the company’s financial, treasury and corporate development functions.

Most recently, Ruppert was executive vice president, CFO and treasurer for aerospace defense contractor Mercury Systems Inc.

“I am very excited to take on the CFO role at ManTech, a company that is a tech leader in the government space with its sophisticated technology solutions that transform the success of customers in the defense, intelligence and federal civilian sectors,” Rupert said in a statement.

Before he was at Mercury Systems, Ruppert was co-founder and managing partner of RSPartners LLC, a mergers and acquisitions firm focused on aerospace and defense. He was also a managing director at UBS Securities, leading the company’s defense and government IT efforts. He has also worked at Lehman Brothers and Lazard Freres. He has a bachelor’s degree in finance and an MBA from the University of Virginia.

ManTech names new CEO, board after Carlyle buy

Now under the ownership of The Carlyle Group Inc., Herndon-based ManTech International Corp. has a new CEO and a new board of directors, the company announced Monday.

Kevin Phillips will retire as CEO and president of the tech contractor and transition to chairman of the board of directors, and Chief Operating Officer Matt Tait has been promoted to CEO.

In September, ManTech’s stockholders approved the sale to Washington, D.C.-based private equity firm Carlyle for $4.2 billion. Under the terms of the transaction, ManTech stockholders were to receive $96 per share in cash. ManTech and Carlyle announced the deal in May. ManTech’s new board includes four Carlyle executives, and Tait, who joined ManTech in 2018, will join the board.

Phillips has served on the board since 2020 and joined the firm in 2002 after it acquired his former company, CTX Corp. He  served as ManTech’s president and CEO since 2018 and became chair in 2020 under a plan to transition leadership of the company co-founded in 1968 by George Pedersen. ManTech reported $2.5 billion in revenue in fiscal 2021.

“It has been a privilege to lead ManTech, and I am humbled by the dedication, innovation and collaboration that have made ManTech a company that people admire and trust,” Phillips said in a statement. “Matt has been an integral member of our leadership team and my partner over the last four years in developing and executing our strategic plans. As COO, Tait expanded and repositioned the company’s intelligence, federal civilian and Department of Defense businesses, according to the company. Before joining ManTech, he spent 20 years with Accenture and a decade in the Navy.

Carlyle Group to acquire ManTech for $4.2B

Herndon-based ManTech International Corp. has entered into a definitive agreement to be acquired by The Carlyle Group for approximately $4.2 billion, the tech contractor announced Monday.

In the all-cash transaction, ManTech shareholders will receive $96 per share in cash, a 32% premium to ManTech’s closing share price of $72.82 on Feb. 2, which was the last trading day before news articles of a potential agreement broke. The cash per share is also a 17% premium to the closing stock price of $81.97 on May 13.

“We have always admired ManTech’s unwavering commitment to support national security customers and their critical missions through differentiated capabilities and technology solutions,” Dayne Baird, managing director on Carlyle’s Aerospace and Government Services team, said in a statement. “ManTech’s talented employees and leadership team have built a remarkable company with strong market positions across the federal government.”

The ManTech Board of Directors unanimously approved the transaction, which is expected to close in the second half of 2022. Stockholders with shares representing 49.2% of the current outstanding voting power of the ManTech common stock have entered into an agreement to vote their shares in favor of the transaction.

As of March 31, Carlyle managed $325 billion of assets. The investment firm employs almost 1,900 people in 26 offices across five continents. Gov. Glenn Youngkin formerly served as co-CEO of The Carlyle Group before retiring in 2020 to mount his campaign for governor.

ManTech secures $118M Navy contract

Herndon-based tech contractor ManTech International Corp. has secured a $188 million, five-year contract to support the U.S. Navy’s Naval Surface Warfare Center Crane by providing tech solutions for intelligence, surveillance and reconnaissance by unmanned aircraft systems.

“At ManTech, intelligent systems engineering is a core competency where we excel at developing innovation solutions. … Under this important re-compete win, our aim is to ensure battle-space dominance at speed across the full range of combat scenarios,” David Hathaway, executive vice president and general manager of ManTech’s Defense sector, said in a statement.

The contract falls under the Department of Defense Information Analysis Center’s multiple-award vehicle. The center provides technical data management and research support for the Defense Department and other federal government users.

ManTech to acquire D.C. tech firm for $350M

Herndon-based tech contractor ManTech International Corp. announced Monday that it has signed a definitive agreement to acquire Washington, D.C.-based Gryphon Technologies from Boca Raton, Florida-based AE Industrial Partners for $350 million.

Gryphon Technologies provides digital and systems engineering capabilities for U.S. Department of Defense agencies, including predictive analytics, data science and cloud engineering.

“This acquisition maps directly to our defense sector expansion strategy of leveraging transformational innovation to advance missions, modernize operations and safeguard military systems and personnel across the DOD landscape,” said ManTech Chairman, CEO and President Kevin M. Phillips said in a statement.

ManTech will gain more than 1,500 employees as well as digital engineering capabilities.

“We are very excited to become a part of ManTech, a recognized leader in supporting national and homeland security,” Gryphon founder and CEO P.J. Braden said in a statement. “This is a great opportunity for our employees, who will benefit from ManTech’s more than 50 years of serving our nation, as well as its advanced professional development and commitment to career enablement.”

ManTech will fund the acquisition from cash on hand, with additional funding from its existing line of credit and delayed draw term loan facilities. The acquisition is expected to be completed by the end of the year.

ManTech names chief growth officer

Herndon-based technology contractor ManTech International Corp. announced Monday that it has recruited Joseph Cubba, formerly senior partner and vice president for defense and intelligence at IBM Corp., as its chief growth officer.

Cubba will report directly to Matt Tait, ManTech’s chief operating officer, and will be responsible for strategic growth efforts across the federal civilian, defense and intelligence sectors.

Cubba is known for his ability to provide “sophisticated” technology services to customers, Tait said in a statement.

Cubba has driven various sales programs focused on the U.S. Department of Defense and intelligence community during his three-decade industry career. He also serves in the U.S. Navy Reserve as a captain and previously spent 10 years at the U.S. Air Force.

Three Va. companies land spots on $4.45B Air Force contract

The U.S. Air Force has awarded positions on a potential 10-year, $4.45 billion contract to three Virginia-based companies, the U.S. Department of Defense announced Friday.

Reston-based General Dynamics Corp., Herndon-based ManTech and Falls Church-based Northrop Grumman Corp. were awarded spots on the contract to provide security services under DOD’s Special Access Program.

Under the contract, the companies will provide Special Access Programs (SAP) security support services, which safeguard classified information. The contract includes the implementation of security protocols to protect technology programs, information security operations, counterintelligence training, analysis and investigations as well as logistics and communications security support for SAP activities and facilities.
